Introduction and acceptance of terms:
By accessing and using this website, JanePartinArt.com, and purchasing artwork from Jane Partin or Jane Partin Art LLC, either through the website or other means, you agree to be bound by the following Terms and Conditions:
Intellectual property rights
Intellectual property: The artist Jane Partin and Jane Partin Art LLC retain full intellectual property rights, including the copyright, to the artwork and its image, including all original paintings and prints and associated products. The purchase of a physical piece of Artwork does not transfer any reproduction rights. Jane Partin or Jane Partin Art LLC retains exclusive rights to reproduce, distribute, modify, or create derivative works from the Artwork for commercial or non-commercial purposes.
Ownership of physical vs. intellectual property: The customer only purchases the right to own physical piece(s) of art (like a painting or print) from Jane Partin and/or Jane Partin Art LLC. Jane Partin and Jane Partin Art LLC retain full intellectual property rights, including the copyright, to the artwork and its image. The purchase of an artwork does not transfer its copyright. The artist retains all reproduction rights and copyrights to the artwork unless a separate, written agreement for the transfer of these rights has been made.
Copyright: Copyright is a form of intellectual property protection that grants the creator exclusive rights to their work. In the context of art, copyright protects the expression of ideas rather than the ideas themselves. Copyrights are granted automatically upon creation of a work. This means that as soon as an artist creates a piece of art, they own the copyright to it, provided it is fixed in a tangible medium. As such, Jane Partin and Jane Partin Art LLC hold the exclusive rights to reproduce, distribute, and display their artwork, including in various mediums such as paintings, drawings, prints, digital art, and photographs.
Website content: Jane Partin and Jane Partin Art LLC retains intellectual property and copyright privileges over all content on the website itself, including text, images, and logos – this includes those used externally for marketing purposes. The images on this website and the artwork itself may not be reproduced, copied, or distributed in any way without our or the artist's express written permission.
Prohibited use: All others outside of the artist Jane Partin and Jane Partin Art LLC are explicitly prohibited from reproducing, distributing, modifying, or creating derivative works from the artwork based on the purchased art or any other website content, such as product photos or descriptions, without the express written permission of Jane Partin and/or Jane Partin Art LLC.
Licensing: commercial licensing agreements require direct communication with Jane Partin Art LLC.
Legal recourse: Jane Partin and Jane Partin Art LLC reserve the right to pursue legal recourse for any intellectual property or Copyright infringement.
Product description, depiction, and availability:
Depiction: Jane Partin Art strives for accuracy in the appearance of all paintings, prints, and products on our website. However, variations in color, texture, and appearance may occur due to the nature of digital photography, different monitor settings, and the unique characteristics of each piece, lighting, and other factors.
Original Paintings: Each original painting is a unique piece and may have slight imperfections. All original paintings are sold as is – these paintings cannot be modified or changed. Once sold, these paintings will no longer be available for purchase and will be promptly removed from the website.
Prints: All prints are limited edition. Please closely read the product description when purchasing, which will state if the prints are numbered and/or signed by the artist.
Framing: All framed paintings were customed framed and cannot be modified or changed by Jane Parting Art LLC – they will be sold as is. Like the original artwork, these are unique and may have slight imperfections.
Digital Downloads: Jane Partin Art LLC does not offer digital downloads.
Customization and Commission: Please note that Jane Partin is retired and no longer actively creating art, so we do not offer customization, personalization, or commission work.
Artwork availability: Jane Part Art LLC website displays a representative sample of Jane Partin’s artwork, not the full portfolio of Jane Partin’s paintings, prints, and products that are available for sale. If interested in a particular genre or theme, please contact Jane Partin Art LLC to inquire about additional artwork options from her inventory.
Pricing and payment:
Original Art: Prices are set based on quality, detail, skill, artistry, size, and time dedicated to completion of the art. Original signed paintings demand a higher price because they are unique and irreplaceable art conceived of and created by the artist.
Prints: Prints are printed replicas of original artwork. Prints are more economically priced but are still of limited edition and quantity. Hand signed and numbered prints will carry a higher price than unsigned prints, and will be marked as such in the product description.
Framed original paintings or prints: All framed paintings are custom framed and unique. Frames increase the price of both original and printed artwork by contributing to the overall artwork’s aesthetic, quality, size, and value.
Prices: All displayed prices are in USD and are subject to change without notice. Prices displayed do not include taxes or shipping, which will be calculated at checkout.
Payment methods: We accept all major credit cards, Google Pay, Apple Pay, and PayPal as payment methods when payment is due at checkout. Full payment is required before an order is shipped.
Taxes, duties, customs and fees: The customer is responsible for any additional customs, duties, taxes, or fees incurred upon receipt. This is typically applicable for international orders. Please see our shipping policy for details.
Order acceptance: Jane Partin and Jane Partin Art LLC reserves the right to refuse or cancel an order at their discretion, including for reasons of stock availability or errors in product information.

All art, paintings, prints and other products provided by Jane Partin and Jane Partin Art LLC are sold "as is" without any warranties, express or implied, regarding the authenticity, value, or condition of the artwork.
Disclaimer of Authenticity, Value, Attribution, and Condition:
Original Art: For works designated as "Original Artwork," we certify that the piece is a genuine, one-of-a-kind creation by the artist Jane Partin.
Prints and Reproductions: For prints, reproductions, or other limited-edition works, we certify that the item is an authorized copy of an original work by the artist Jane Partin. Details regarding edition size, type, and signature will be included in the product description.
Artist Attribution: We certify the authenticity of artwork sold directly from Jane Partin or Jane Parting Art LLC. We cannot provide a guarantee of authenticity for any artwork by Jane Partin purchased from other sellers. It is the buyer's responsibility to conduct their own due diligence, as is standard practice in the art market.
Value and Appraisals: Any statement of value, including but not limited to any appraisal, valuation, or estimated price, is the opinion of the seller and does not constitute a guarantee of valuation. The market for art is subject to change, and the value of any piece may fluctuate over time. We are not licensed appraisers and do not warrant or guarantee that a buyer will be able to resell a piece of artwork for any particular amount.
Condition of Artwork: We strive to accurately describe and photograph the artwork available on our website. However, variations in color, texture, and appearance may occur due to the nature of digital photography, different monitor settings, and the unique characteristics of each piece. Jane Partin and Jane Partin Art LLC do not warrant that any description, photograph, or other product representation is completely accurate, reliable, or error-free. We make a reasonable effort to note any significant flaws or damage in the product description and photographs. However, as works are sold "as is," minor imperfections, variations in color (due to monitor differences, digital photography, etc.), or signs of age should be expected. The condition of an artwork is subjective and may change over time due to age, material composition, and environmental factors. We encourage prospective buyers to examine all photos and descriptions carefully and contact us with any questions. It is the customer's responsibility to examine all product information before making a purchase.
Disclaimer of warranties
All artwork is provided and sold on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Jane Partin and Jane Partin Art LLC expressly disclaims any and all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Artwork is provided with all faults. By completing a purchase, the buyer acknowledges and agrees that they have examined the Artwork as fully as they desire (via photographs, descriptions, and any questions submitted) and are satisfied with its condition.
Limitation of Liability
Limitation of Liability: In no event shall Jane Partin or Jane Partin Art LLC be liable for any special, incidental, indirect, or consequential damages, including but not limited to loss of profits, arising from the purchase or use of our Artwork. The customer assumes all risks associated with the purchase and use of the Artwork.
Scope of liability: In no event shall Jane Part or Jane Partin Art LLC, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to, loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract, tort (including negligence), or otherwise, arising from your access to, or use of, the website or your purchase of any artwork.
Maximum financial cap: In no event shall the total aggregate liability of Jane Partin or Jane Partin Art LLC for all claims relating to an artwork sold on the website exceed the total amount paid by the purchaser to Jane Partin or Jane Partin Art LLC for that specific artwork and associated costs, such as taxes, fees, and shipping.
No liability for third-party actions: Jane Partin and Jane Partin Art LLC disclaims responsibility for third-party actions, such as those of shipping carriers. Although we will endeavor to resolve and address any issues or damages that occur during shipping with the shipping carrier, Jane Partin and Jane Partin Art LLC are not liable for any damage, theft, or other losses that occur during the shipping or delivery of the artwork. Under Virginia law, the risk of delivery problems like damage or theft is typically transferred to the buyer once they have received the artwork.
Indemnification clause: You agree to indemnify, defend, and hold harmless Jane Partin, Jane Partin Art LLC, its owners, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including attorneys' fees) arising out of or in any way connected with:

Applicability to Virginia law: This limitation of liability is governed by the laws of the Commonwealth of Virginia. This warranty disclaimer is intended to be consistent with all applicable Virginia laws, including the Virginia Consumer Protection Act (§ 59.1-200 et seq.). Note, a limitation of liability clause may be unenforceable in some circumstances, particularly in cases of gross negligence or willful misconduct or in jurisdictions do not allow the exclusion or limitation of certain damages, so above limitations may not apply. By selling Artwork "as is," we are transparent about the nature of our products and our limited liability, which promotes fair dealing in consumer transactions.
User conduct and prohibited activities
Allowed use: Website users and customers may view and download image content only for personal, non-commercial, and non-monetary use of the images, such as sharing on social media, but they must provide proper source attribution back to Jane Partin or Jane Partin Art LLC.
User-generated content: No user-generated content is permitted on Jane Partin Art LLC. All communication and feedback should be conducted through business email or phone. Jane Partin LLC reserves the right to remove any content we deem inappropriate.
Links to third-party sites: Jane Partin LLC website is hosted by Wix.com and utilizes and provides links to other third-party sites and sources. We are not responsible for the content, policies, or practices of Wix or external sites and entities.

Dispute resolution
Objective: Jane Partin Art LLC is committed to providing high-quality artwork and ensuring customer satisfaction. Should a dispute or claim arise concerning a purchase made on this website, this document outlines our formal procedure for resolution. This policy is designed to be transparent, efficient, and legally compliant with Virginia law.
Customer Consent: By completing a purchase on this website, the customer acknowledges and agrees to these dispute resolution terms as part of the overall terms and conditions of sale.
Step 1: Mandatory Informal Resolution: Before initiating any formal legal action, all customers agree to first contact Jane Partin Art LLC directly to seek an informal resolution. Customers must submit a detailed written account of the issue to contactus@janepartinart.com, including:

Upon receipt of the claim, Jane Partin Art LLC will respond within 15 business days and engage in a good-faith effort to resolve the matter to both parties' satisfaction.
Step 2: Binding Arbitration: If the informal resolution process fails to resolve the dispute, the customer and Jane Partin Art LLC agree to resolve any claim through final and binding arbitration rather than in court. This agreement to arbitrate is a condition of all transactions and is intended to be interpreted broadly.

Administration: The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its then-current Consumer Arbitration Rules. The arbitration will be held in Fairfax County, Virginia, or another mutually agreed-upon location.

Waiver of Class Action: By entering into this agreement, the customer and Jane Partin Art LLC expressly waive any right to bring a claim as a class action, class arbitration, or in any representative capacity. All disputes must be arbitrated on an individual basis.

Finality of Decision: The arbitrator's decision will be final and binding. A judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
Exceptions to Arbitration: The only exceptions to this binding arbitration agreement are:

Either party may assert claims in small claims court in Fairfax County, Virginia, so long as the claims remain in that court and advance only on an individual basis.

Jane Partin Art LLC reserves the right to pursue a lawsuit against any party for the infringement or other misuse of its intellectual property rights, including the artist's copyright.
Governing Law and Jurisdiction: This Dispute Resolution section and all other terms of service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, US, without regard to its conflict of law principles. For any legal action not subject to the binding arbitration clause, the customer agrees to submit to the exclusive jurisdiction of the state and federal courts located within Fairfax County, Virginia.
